35-2-314. Service of process on corporation. (1) Service of process on a corporation must be made upon the persons and in the manner provided by the Montana Rules of Civil Procedure.
(2) The following are to be considered trustees for the corporation and its members, for the purpose of service or demand, on a corporation dissolved pursuant to 35-2-309 through 35-2-311, 35-2-315, 35-2-510 through 35-2-514, 35-2-516 through 35-2-520, 35-2-522, 35-2-524, part 13 of this chapter, and this section:
(a) in the case of a dissolution, any one of those persons designated as trustees for service of process pursuant to a filing made with the secretary of state or, if no filing is made, any one of the directors or officers of the corporation listed in the annual report most recently filed with the secretary of state; or
(b) in the case of an involuntary dissolution or expiration of a corporation's term:
(i) any one of those persons designated as receiver by a court of competent jurisdiction; or
(ii) any one of the directors or officers of the corporation listed in the annual report most recently filed with the secretary of state.
